Warner Norcross + Judd LLP partner Shane B. Hansen has been selected as a 2021 BTI Client Service All-Star for mergers and acquisitions.

Hansen concentrates his legal practice in the securities industry focused on corporate and regulatory matters for broker-dealers, investment advisers, brokers focused on mergers and acquisitions and banks. He has substantial M&A experience involving broker-dealers and investment advisers, as well as counseling M&A professionals on opportunities from recent federal and state regulatory relief from broker-dealer registration. He advises clients on business, corporate, banking and securities laws and regulations.
He regularly guides clients through regulatory examinations, investigations and enforcement issues with the U.S. Securities and Exchange Commission, Financial Industry Regulatory Authority and state securities regulators. He was the principal author of the Small Business Mergers, Acquisitions and Sales Brokerage Simplification Act of 2021 – twice unanimously passed by the U.S. House of Representatives – that exempts M&A brokers from SEC broker-dealer registration. He also was instrumental in state regulators adopting a model rule to exempt M&A brokers from state-level registration.
Hansen frequently lectures on securities regulatory topics, including at the Michigan State University School of Law’s Midwest Securities Institute and programs hosted by Michigan’s securities regulatory agency. He has been recognized as one of The Best Lawyers in America© in corporate law and securities regulation for 14 years. He also is a Michigan Super Lawyer and Grand Rapids Magazine’s 2020 Top Lawyer in securities law.
Hansen is a member of the American Bar Association, State Bar of Michigan and Grand Rapids Bar Association. He is active in the ABA Business Law Section’s federal and state committees on securities regulation and has served as chair and co-chair of its various subcommittees. He is an active member of the State Bar of Michigan Business Law Section’s, or BLS, securities and financial institutions committees and has served on its BLS Council.
