Susan M. Cook, a partner in the Southfield and Midland offices of Warner Norcross + Judd LLP, has been recognized by the Turnaround Management Association for her role in the Mid-Size Company Transaction of the Year.
Cook and a team of Warner attorneys served as legal advisors to Beach Mold and Tool Inc. in New Albany, Indiana, during its sale to NYX Inc. They provided a comprehensive restructuring aimed at returning the distressed supplier to solid footing. This effort included contract reviews, supplier negotiations, the sale of a Virginia-based subsidiary to a European buyer and, ultimately, the sale of Beach, all under close scrutiny of Beach's major lender.
Warner attorneys then advised Beach throughout the NYX sale process and structured the transaction documents. Based in Livonia, Michigan, NYX is a minority-owned global business enterprise that designs, develops and manufactures interior and technology solutions for the automotive industry.
Warner teamed with Amherst Partners in the representation of Beach. Other professionals representing other constituents in the transaction included Wolfson Bolton on behalf of NYX and KPMG US. This was one of five deals recognized this year with a TMA Turnaround and Transaction Award, which are among the most prestigious and recognizable in the industry.
The transaction was also honored by the Association of Corporate Growth Detroit Chapter as its 2020 Deal of the Year over $50 million.
Cook has more than 40 years of experience in the areas of bankruptcy, business reorganization, commercial litigation and business transactions. She has represented both purchasers and sellers in the sale of businesses, banks in the drafting and reviewing of loan documentation, and distressed businesses and creditors in both out-of-court and bankruptcy reorganizations.
Her reorganization experience is in a wide range of industries, including automotive, hospitality, healthcare, construction, gaming and retail. She has significant experience representing Tier I and Tier II automotive suppliers and has been involved in all of the major automotive bankruptcy proceedings in the past 15 years.
